**1. Introduction**
Welcome to indie-roadmap.com (the "Website"), operated by Indie Roadmap LLC ("Company"). By accessing or using the Website and our services ("Services"), you ("User" or "Subscriber") agree to be bound by these Terms and Services ("Agreement"). If you do not agree to these terms, please do not use the Website or Services.
**2. Subscription and Payment**
a. The Services are provided on a subscription basis, charged monthly.
b. By subscribing, you authorize the Company to charge your payment method on a recurring monthly basis.
c. All fees are non-refundable, and no refunds will be issued for any reason.
**3. Non-Disclosure Agreement**
a. You agree to keep confidential and not disclose any proprietary or confidential information of the Company or its managers.
b. This non-disclosure obligation survives the termination of this Agreement.
**4. Service Provision**
a. The Company and its managers will perform services to the best of their abilities.
b. All managers are independent contractors and not employees of the Company.
c. Certain Services may not be available at all times, and the Company reserves the right to modify or discontinue any part of the Services at any time without notice.
d. The Company does not guarantee any specific outcome or result from the use of the Services.
**5. Termination and Cancellation**
a. If your subscription plan is canceled for any reason, you will lose access to all Services provided by the Company and Website.
b. The Company or its contractors reserve the right to cancel any membership or refuse service for any reason at any time.
**6. Use of Artist's Name, Image, and Likeness**
a. By using the Services, you grant the Company the right to use your name, image, likeness, and music for promotional purposes for the duration of your subscription.
**7. Limitation of Liability**
a. The Company is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
b. The Company's liability is limited to the amount paid by you for the Services.
**8. Governing Law**
This Agreement shall be governed by and construed in accordance with the laws of the state of Nebraska, without regard to its conflict of law principles.
**9. Modifications to the Agreement**
The Company reserves the right to modify these terms at any time. Changes will be effective upon posting on the Website. Your continued use of the Services after such changes constitutes your acceptance of the new terms.

Welcome to Indie RoadMap LLC (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Agreement”) govern your use of the website located at www.indie-roadmap.com (“Site”) and the services offered through it (“Services”). By accessing or using the Site and Services, you (“you,” “Artist,” “User,” or “Client”) agree to be legally bound by these Terms and Conditions.
If you do not agree with any part of this Agreement, you must not use this Site or any of our Services.
1. Scope of Services
Indie RoadMap LLC is a new-age music management company offering artists a suite of digital tools, services, and independent contractor support to help advance their music careers. These Services may include analytics, marketing guidance, promotional strategies, and assistance from independent music managers (“Managers”).
All Services are contingent upon the Artist’s own effort, initiative, and activity. No success, outcome, or specific results are guaranteed by the Company or its Managers.
2. Artist Responsibilities
Self-Booking: Artists are solely responsible for securing, negotiating, and managing all performances, bookings, events, and contracts related to their music career.
Professional Conduct: Artists must conduct themselves professionally and agree not to slander, defame, or disparage the Company, its Managers, affiliates, or partners—verbally, in writing, online, or through any public or private medium—before, during, or after any engagement.
No Employment or Agency: Nothing in this Agreement creates an employee-employer, joint venture, agency, or partnership relationship between the Artist and the Company or its Managers.
3. Managers and Franchise Model
All Managers affiliated with Indie RoadMap LLC operate as independent contractors. They are not employees, legal representatives, or agents of the Company.
Managers act autonomously and run their own independent music consulting or management practices under a franchise-style model.
Managers are not legally liable for any outcome, action, or failure related to the Artist's career, decisions, or lack of effort.
4. Limitation of Liability
To the maximum extent permitted by law, Indie RoadMap LLC and its Managers, contractors, affiliates, officers, directors, and employees shall not be liable for any damages, losses, claims, or liabilities, including but not limited to:
Use or inability to use the Site or Services;
Career or financial outcomes related to Artist activity or inactivity;
Booking, touring, or performance issues;
Technical malfunctions, loss of data, or third-party disruptions;
Defamatory or misleading conduct by third parties or other Users.
You agree that the total liability of Indie RoadMap LLC, if any, shall not exceed the total amount paid by you to the Company within the past twelve (12) months.
5. Indemnification
You agree to indemnify, defend, and hold harmless Indie RoadMap LLC, its Managers, contractors, affiliates, and representatives from and against any claims, liabilities, losses, damages, costs, or legal fees arising from:
Your use or misuse of the Site or Services;
Your violation of any term of this Agreement;
Your interactions, contracts, or disputes with third parties;
Any defamatory statements or actions initiated by you.
6. No Warranties
All Services are provided strictly “AS IS” and “AS AVAILABLE.”
Indie RoadMap LLC disclaims all warranties of any kind, either express or implied, including but not limited to:
Warranties of merchantability, fitness for a particular purpose, and non-infringement;
Results, exposure, earnings, or professional success;
Any implied warranties arising from course of performance or usage of trade.
7. Intellectual Property
All content, designs, logos, trademarks, trade secrets, code, and materials on the Site are the exclusive property of Indie RoadMap LLC or its licensors. You may not use, copy, reproduce, modify, distribute, display, or reverse-engineer any material from the Site without prior written permission.
8. Non-Disparagement
You agree not to make, publish, or facilitate any negative, misleading, false, or disparaging statement about Indie RoadMap LLC, its affiliates, contractors, or Managers in any format—including social media, public forums, or private communications.
This obligation remains in effect during and after the term of any agreement, collaboration, or use of the Site or Services. Breach of this clause constitutes material violation and may result in legal action.
9. Termination
Indie RoadMap LLC reserves the right to suspend or permanently terminate your access to the Site and Services at its sole discretion, without prior notice, for:
Violation of these Terms;
Unprofessional or abusive conduct;
Any action that may harm the reputation or functioning of the Company or its Managers.
Termination does not entitle you to any refund or waiver of fees.
10. Dispute Resolution
Any dispute or claim arising from this Agreement shall be resolved through binding arbitration in the state of Nebraska, under the rules of the American Arbitration Association. By agreeing to these Terms, you waive the right to a jury trial or class action lawsuit.
11. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law principles.
12. Modifications
Indie RoadMap LLC may revise these Terms at any time. Any changes will be posted on the Site. Continued use of the Services after changes have been posted constitutes your acceptance of the updated Terms.
13. Entire Agreement
These Terms and Conditions represent the entire agreement between you and Indie RoadMap LLC concerning the use of the Site and Services and supersede all prior agreements, communications, or understandings, written or oral.
14. No Refunds
All sales and payments to Indie RoadMap LLC are final and non-refundable.
No refunds will be granted for dissatisfaction, failure to use the Services, or early termination by the Artist.
Refunds will not be issued due to lack of results, delays, or changes in artistic direction.
Refund exceptions may be granted only in writing by executive management at the sole discretion of the Company.
By using the Indie RoadMap platform, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
